This Terms of Service Agreement (“TOS”) constitutes a valid, binding, and enforceable legal contract by and between you, the “Customer,” and https://proxinet.cloud. (“ProxiNet”).
Services
Subject to the terms in this agreement, ProxiNet will provide VPS Hosting Services, and Proxy Hosting Services as outlined in this agreement.
Terms
The initial service term of this agreement shall begin when ProxiNet activates the Customer’s service. The Customer will be charged on a monthly agreement, where the customer will pay monthly on their designated anniversary date. ProxiNet agrees to allow the Customer to cancel and terminate their service at any time, as long as it is before their designated due date.
Fee Increases: ProxiNet reserves the right to increase service fees. Customers can accept the fee increase by renewing their service. If the Customer does not accept the fee increase, they could cancel and or terminate their service with ProxiNet.
Non-Payment: All payments are due in full on their designated monthly anniversary date, as dictated by their order acceptance date. Failure to provide payment for services on the aforementioned due date is a violation of the TOS. Failure to pay for one (1) day, following the due date, ProxiNet reserves the right to suspend or terminate the service if the balance is left unpaid.
Refunds
ProxiNet offers a 1-day money-back guarantee for all services. A refund claim must be started within 1-day of the initial service term. This policy does not cover costs for any add- ons. Circumstances under which a full refund is requested will be denied or subject to discretion of ProxiNet to approve or deny: If ProxiNet has any reason to believe that their Acceptable Use Policy (AUP) or Terms of Services (TOS) has been violated, or misused in anyway.
Spam and Unsolicited Commercial Email (UCE)
ProxiNet has a zero-tolerance policy regarding sending Unsolicited Commercial Email (UCE) or SPAM over our network. Customers may not use or permit others to use our network to transact in Spam/UCE. Customers may not host, or permit hosting of, sites or information that is advertised by Spam/UCE from other networks. Upon notification of an alleged violation of the Spam/UCE policy, ProxiNet will start an investigation. If Customer is found to be in violation of our Spam/UCE policy, ProxiNet will immediately terminate the Customers service and all data, with no refunds given.
Suspension of Service
ProxiNet reserves the right to terminate or suspend network access to any Customer, if in the reasonable judgement of ProxiNet, if the Customer’s hosted service violated the TOS or AUP in any way, or for any valid reason ProxiNet chooses.
Data Loss and Backups
Customer’s use of ProxiNet’s servers and services is at the Customer’s sole risk. ProxiNet is not responsible for any data hosted on your server. While complimentary snapshots may be provided by ProxiNet, the Customer agrees to take full responsibility for files and data transferred to/from and maintained on your rented server(s) and agree that it is the Customer’s responsibility to take additional backups of data residing on your server.
Unauthorized Resellers
We do not support unauthorized resellers. Services found to be in violation of this policy may be terminated without refund.
Laws
Customer agrees to abide by all local, state, and federal laws pursuant to services delivered in the State of Arizona. All contract terms found herein shall be governed by the State of Arizona. Customer agrees to use the service in compliance with ProxiNet’s TOS/AUP. Customer agrees that ProxiNet may amend their AUP without further notice. Amendments to the AUP are effective immediately.
Limitation of Liability
ProxiNet shall not be liable to Customer for harm caused by or related to Customer’s services or inability to utilize the services unless caused by gross negligence or willful misconduct. Neither Party shall be liable to the other for lost profits, direct or indirect, special or incidental, consequential or punitive, or damages of any kind whether or not they were known or should have been known. Notwithstanding anything else in this Agreement, the maximum aggregate liability of ProxiNet and any of its staff, agents, or affiliates, under any theory of law, shall not exceed the amount paid by the customer for hosting services for the thirty (30) days prior to the occurrence of the event(s) giving rise to the claim.
